GMO Media and GMO Tea Cup Communication to Merge
 
Tokyo – March 12, 2009 – GMO Internet Group companies GMO Media and GMO Tea Cup Communication announce an agreement to merge the two companies on April 1, 2009. The surviving company willl be GMO Media.
 
Objectives of the Merger
GMO Media is a provider of Internet media and digital content, its operations are built on the corporate catchphrase, “Making life more fun and more fulfilling through the Internet”.
Online community services are central to the Internet media business and the company has agreed to merge with GMO Tea Cup Communication, operator of widely used online community services for individuals, in order to strengthen operations.
The merger will consolidate the two company’s development technology and operational expertise. It will allow the new company to provide a more convenient and enjoyable online community through stronger, more comprehensive services and improved operational efficiency. 

Outline of Merger
Board of Directors approval of merger agreement: February 23, 2009
Merger contract signing: February 23, 2009
Stockholders Meeting approval of merger agreement: March 25, 2009
Date effective: April 1, 2009

Type of Merger
The companies will merge in an absorption merger. GMO Media will be the surviving company and GMO Tea Cup Communication will be dissolved.

About the Service
All teacup services originally operated by GMO Tea Cup Communication will be continued. These services will be operated by GMO Media as of April 1, 2009.
